Terms of Service
These Terms govern your access to and use of LaoZhang API. Please read them carefully before creating an account, purchasing credits or sending API requests.

Important notice: LaoZhang API is a technical API gateway and routing service for developers. We are not the official operator of the third-party AI models routed through the service, and we do not provide a public-facing generative AI content service.
1. Provider and acceptance
The service is provided by YingTu Technology Pte. Ltd., a company organized in Singapore, under the brand laozhang.ai. References to "LaoZhang API", "we", "us" or "our" mean this service provider.
By creating an account, purchasing credits, obtaining an API key, sending API requests or otherwise using the service, you confirm that you have read, understood and agreed to these Terms, the Privacy Policy and the Data Policy.
If these Terms are translated into another language, the English version controls to the extent of any inconsistency, unless applicable law requires otherwise.
2. Service nature and upstream providers
LaoZhang API provides standardized technical access, routing, billing and usage visibility for third-party AI model APIs, including text, reasoning, image, video, vision, audio and related model workloads.
The service transmits API requests to upstream AI model providers such as OpenAI, Anthropic, Google and other providers supported from time to time. LaoZhang API is not the official service of those providers and does not control their models, infrastructure, policies, output quality or availability.
We may add, remove, replace, reroute, throttle, suspend or discontinue models, channels, endpoints or features when required by upstream availability, security, legal, commercial or operational reasons.
3. Eligibility and restricted regions
You must be at least 18 years old and legally capable of entering into a binding agreement. If you use the service on behalf of a company or other organization, you represent that you have authority to bind that entity.
The service is intended for companies, developers, technical teams and authorized individual developers for server-side products, system integration, internal tools, testing and automation workflows.
The service is not available to users located in Mainland China or in any jurisdiction where use of the service is prohibited or restricted by applicable law, sanctions, export controls or upstream provider rules. You must not use technical measures to circumvent region or eligibility restrictions.
Registration credits or test credits are provided only for API connectivity verification and development debugging, and do not guarantee production availability or service continuity.
4. Accounts, credentials and API keys
You must provide accurate, complete and current account, contact and billing information. We may request additional information to verify account ownership, business authority, billing status or compliance risk.
You are responsible for keeping your account credentials, API keys, access tokens and integration secrets confidential, and for all activities that occur under your account or keys.
You must promptly notify us if you believe your account, API key or integration has been compromised. We may rotate, revoke, suspend or restrict credentials to protect the service, users, upstream providers or payment integrity.
5. Credits, pricing and payment
The service may require prepaid credits, balances or other usage-based charges. Usage is calculated by model, endpoint, token, request, media unit, provider cost or other billing unit shown in the dashboard, documentation or pricing page.
Prices, available models, rate limits, billing units and credit rules may change. We will use reasonable efforts to publish material pricing changes before or when they take effect, but upstream emergency changes may take effect immediately.
Payments may be processed by third-party payment processors such as Stripe or other providers. You authorize us and the applicable payment processor to charge the selected payment method for confirmed purchases. We do not store full card numbers or complete payment credentials.
You are responsible for taxes, currency conversion costs, bank fees, payment processor fees and chargeback costs arising from your purchase or use of the service, except where prohibited by law.
6. Refunds and balance handling
Because the service is an online technical API service with upstream consumption costs, purchased credits and paid fees are generally non-refundable once purchased or consumed.
We may provide a refund or balance adjustment where required by applicable law, where we decide to permanently discontinue a relevant paid service before credits can reasonably be used, or where a material service failure caused by our fault prevents normal use for a significant period.
No refund will be provided for violations of these Terms, abuse, fraud, sanctions or region restrictions, chargeback abuse, user integration errors, unsupported use cases, upstream provider restrictions, or dissatisfaction with AI model outputs.
7. User input, output and model results
You may submit prompts, files, images, text, code, data, parameters and other materials to the service as input, and may receive text, images, video, audio, code, structured data or other model results as output.
You retain any rights you have in your input. Rights in output, if any, are governed by applicable law and by the terms, policies and technical behavior of the upstream AI model provider used for the relevant request.
AI model output may be inaccurate, incomplete, offensive, unsafe, infringing or unsuitable for your intended use. You are solely responsible for reviewing, validating and using output, and for any decisions, publications, products or services based on output.
You represent that you have all rights, permissions, notices and consents necessary to submit input to the service and to permit transmission to upstream AI model providers for processing.
8. Data compliance and cross-border transfer
API requests may be transmitted to upstream AI model providers, infrastructure providers and service providers located outside your jurisdiction, including providers in the United States, Singapore, the European Union and other regions.
You are responsible for determining whether your use of the service complies with applicable privacy, data protection, cybersecurity, export control, sector-specific and cross-border transfer requirements.
You must not submit unlawful personal data, sensitive personal data, regulated data, confidential third-party data or data subject to special transfer restrictions unless you have obtained all necessary rights, notices, consents, contractual protections and legal bases.
We recommend minimizing personal data in API requests, using de-identification or anonymization where possible, and using the service primarily for server-side products, internal systems, controlled workflows and development testing.
9. API content handling and upstream terms
LaoZhang API does not, by default, store, view, analyze, cache, sell or use API prompt or response content for model training or user profiling. API content is transmitted only as necessary to process the request and return the result.
Necessary service metadata may be recorded for billing, troubleshooting, rate limiting, security and abuse prevention. Metadata may include account or key identifiers, timestamp, model, endpoint, token or usage amount, request status, error category, latency and routing information, but not the prompt or model response content by default.
Upstream AI model providers may apply their own logging, retention, abuse monitoring, safety review, training, opt-out and data processing terms. We will use reasonable efforts to choose enterprise/API pathways and opt out of model training where commercially and technically available, but we cannot guarantee that every upstream provider follows the same practices.
If we ever offer an optional feature that saves private request or response logs for your debugging or viewing, that feature must be separately enabled or clearly disclosed, and any saved content will be handled under the Privacy Policy and Data Policy.
10. Prohibited conduct
You must not use the service for illegal, harmful, abusive, infringing, deceptive, violent, sexually exploitative, privacy-invasive, discriminatory, malware-related, spam, phishing, surveillance, credential theft, sanctions-evading or otherwise prohibited activities.
You must not violate applicable upstream AI model policies, use the service to bypass provider restrictions, create multiple accounts to evade limits, resell unauthorized API access, scrape or copy the service, reverse engineer non-public systems, probe or attack infrastructure, interfere with other users, or overload, degrade or disrupt the service.
You must not submit content that infringes intellectual property, violates privacy or publicity rights, contains unlawful personal data, or would cause LaoZhang API or an upstream provider to violate applicable law or contractual obligations.
11. Suspension, termination and service changes
We may suspend, restrict or terminate your account, API keys, credits or access immediately if we reasonably believe that you violated these Terms, created security or payment risk, triggered upstream provider restrictions, submitted unlawful or abusive requests, breached region restrictions, or exposed us, users or providers to legal or operational risk.
We may temporarily or permanently modify, interrupt or discontinue all or part of the service, including models, endpoints, pricing, rate limits, routing policies, logs and dashboard features. We are not liable for interruptions or changes caused by upstream providers, networks, infrastructure, force majeure, maintenance, security incidents or legal requirements.
If your account is terminated for your breach, fraud, abuse or prohibited use, unused credits are not refundable. You remain responsible for all charges and liabilities incurred before termination.
12. Intellectual property and feedback
The service, website, dashboard, documentation, software, trademarks, branding, visual design, compilations, pricing structure and related materials are owned by us or our licensors and are protected by intellectual property and other laws.
Except as expressly permitted, you may not copy, modify, distribute, sell, lease, sublicense, publicly display, reverse engineer or create derivative works from the service or its materials.
If you provide feedback, suggestions or ideas, you grant us a perpetual, worldwide, irrevocable, royalty-free and fully paid right to use that feedback to improve, develop, operate and market the service without restriction or compensation.
13. Confidentiality
Each party may receive non-public technical, business, financial, pricing, security, account or product information from the other party. The receiving party must protect confidential information with reasonable care and use it only for purposes related to the service.
Confidentiality obligations do not apply to information that is public without breach, already known without confidentiality duty, independently developed, lawfully received from a third party, or required to be disclosed by law, court order, regulator or government authority.
14. Disclaimers
The service is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, we disclaim all warranties, whether express, implied or statutory, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, uninterrupted operation, security, accuracy and error-free performance.
We do not warrant that any model, route, provider, result, latency, price, rate limit, safety filter, context window, feature, documentation or output will remain available, accurate, complete, secure or suitable for your use case.
You assume all risks arising from your integrations, inputs, outputs, downstream products, business decisions, publications, customer-facing uses and compliance obligations.
15. Limitation of liability
To the maximum extent permitted by law, LaoZhang API and its affiliates, officers, employees, contractors and agents will not be liable for indirect, incidental, special, consequential, exemplary or punitive damages, loss of profits, loss of revenue, loss of goodwill, loss of data, business interruption or cost of substitute services.
To the maximum extent permitted by law, our total aggregate liability arising out of or relating to the service or these Terms will not exceed the greater of: (a) the amount you paid to LaoZhang API for the service during the 12 months before the event giving rise to the claim; or (b) USD 100.
These limitations apply regardless of legal theory and even if a remedy fails of its essential purpose, except where liability cannot be limited by applicable law.
16. Indemnity
You agree to defend, indemnify and hold harmless LaoZhang API, its affiliates, officers, employees, contractors and agents from and against claims, damages, liabilities, losses, costs and expenses arising from your use of the service, your input or output, your products or customers, your violation of these Terms or upstream provider terms, your breach of law or data protection obligations, or your infringement or misappropriation of third-party rights.
We may control the defense of any matter subject to indemnification at your expense, and you agree to cooperate with the defense.
17. Changes to these Terms and electronic notices
We may update these Terms from time to time. Material changes may be notified by email, dashboard notice or website notice. Other changes take effect when posted unless otherwise stated.
Your continued use of the service after an updated version takes effect means you accept the updated Terms. If you do not agree, you must stop using the service.
You consent to receive notices, agreements, disclosures and other communications electronically. Electronic communications satisfy any legal requirement that communications be in writing.
18. Governing law, disputes and contact
These Terms and any dispute arising out of or relating to the service are governed by the laws of Singapore, without regard to conflict-of-law rules.
The parties will first attempt to resolve disputes through good-faith negotiation. If negotiation fails, either party may submit the dispute to the competent courts of Singapore, unless the parties agree in writing to arbitration or another forum.
